1. Agreement to Terms
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and DAGTech, Inc. (“DAGTech”, “we”, “us”, or “our”), concerning your access to and use of the CatchStat.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site” or the "Service").
By accessing and using this Site, you agree to each of the terms and conditions set forth herein. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Site and you must discontinue use immediately.
We reserve the right to modify this Agreement at any time without prior notice. Your use of the Site following any such modification constitutes your agreement to follow and be bound by the Agreement as modified.
2. Intellectual Property Rights
Unless otherwise indicated, the Site and the Service are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
3. User Accounts and Security
If you register for an account on the Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. User-Submitted Content
The Service may allow you to upload, post, or otherwise submit content such as photographs, videos, and catch data ("User Content"). You retain all ownership rights to your User Content. However, by submitting User Content to the Site, you grant DAGTech a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and promoting the Service. This license allows us to display your catch photos on leaderboards and use them in other ways necessary to provide the Service.
You represent and warrant that you have the legal right and authority to grant us this license for any User Content you submit.
5. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. You agree not to:
- Take any action that might compromise the security of the Site, render the Site inaccessible to others, or otherwise cause damage to the Site or the Content.
- Use the Site in any manner that might interfere with the rights of third parties.
- Use any data mining, robots, or similar data gathering and extraction tools on the Content.
- Attempt to access any Content or data that is not intended for you.
6. Third-Party Websites and Content
The Site may contain links to third-party websites or services that are not owned or controlled by DAGTech. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
Our website utilizes Google's YouTube API Services. By using features on our site that integrate with YouTube, you are agreeing to be bound by the YouTube Terms of Service. Please also review the Google Privacy Policy.
7. Disclaimer of Warranties
THE SITE, THE SERVICE, AND THE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK.
The content provided on this Site is for informational and entertainment purposes only. DAGTech makes no express or implied warranties, representations, or endorsements whatsoever with respect to the Site, the Service, or the Content. We expressly disclaim all warranties of any kind, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant the accuracy, completeness, or timeliness of the Content. Official tournament standings, rules, and payouts must be obtained directly from the official tournament organizers.
8. Limitation of Liability
IN NO EVENT WILL DAGTECH, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.
9. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the Site, breach of these Terms of Use, or your violation of the rights of a third party.
10. Refund Policy
DAGTech does not offer refunds for any services purchased directly from us. Any refunds for third-party fees and/or purchases (such as tournament entry fees) are determined by the refund policy of the respective third-party tournament organizer.
11. Governing Law and Dispute Resolution
These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.
12. Copyright Infringement (DMCA)
We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent using the contact information provided below (a “Notification”). Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to: legal@catchstat.com.
